CONFIDENTIALITY AGREEMENT FOR REVIEW OF INVESTMENT OFFERING MEMORANDUM THIS CONFIDENTIALITY AGREEMENT FOR REVIEW OF THE 525 SANTA MONICA BOULEVARD, SANTA MONICA, CA, OFFERING MEMORANDUM. Seller has retained MEI Real Estate Services as exclusive advisor for the sale of the above referenced property. This Investment Offering Memorandum has been prepared by MEI Real Estate Services for use by a limited number of parties and does not purport to provide a necessarily accurate summary of the property or any of the documents related hereto, nor does it purport to be all inclusive of or to contain all of the information which perspective investors may need or desire. All projections have been developed by Seller, MEI Real Estate Services and other sources and are based upon assumptions relating to the general economy, competition and other forces beyond the control of the Seller and are therefore subject to variation. The information listed in the marketing materials has been obtained from sources we believe to be reliable, however, we accept no responsibility for its correctness. Reviewer agrees that its review and inspection of the Confidential Information shall be solely to conduct due diligence on their own behalf. Said review shall be in any case solely to determine whether Reviewer is interested in purchasing the Property. Reviewer(s) agree to indemnify MEI Real Estate Services and its counsel, agents, advisors, and client, (collectively, “Indemnified Parties”) and hold such Indemnified Parties harmless from and against all costs and expenses of any kind whatsoever arising out of or in connection with, directly or indirectly, Reviewer’s use or disclosure of the Confidential information. Reviewer agrees that, except as set forth below, all Confidential Information shall be used by Reviewer solely for the purposes stated herein. Reviewer further agrees not to disclose any of the Confidential Information without the prior written consent of MEI to any third party. Reviewer agrees to refrain from making any reproduction of any item of Confidential Information. Reviewer acknowledges and agrees that Reviewer will independently and without reliance upon MEI, or any Confidential Information which MEI Real Estate Services provides to Reviewer, make their own analysis of the Property and their own independent commercial business decision as to whether to make an offer for the Property. Reviewer agrees that this paragraph shall survive the acquisition of the Property by Reviewer. The provisions of this Agreement shall continue to apply to all Parties in regards to Confidential Information submitted to Reviewer for a period of two (2) years after its commencement; during which time this Agreement will continue to apply to all such Confidential Information. The term of this agreement shall be for the later of (i) one (1) year, or (ii) until such a time that Seller no longer owns the Property. Seller and tenants of the Property are intended third party beneficiaries of this Agreement.
